🌍 AIOTEN DIGITAL PRIVATE LIMITED
GLOBAL DIGITAL MUSIC DISTRIBUTION AGREEMENT

1. Introduction
Welcome to Aioten Digital Private Limited (“Aioten”).
By creating an account, uploading content, or distributing music through Aioten, you (“Artist”) agree to this Global Digital Music Distribution Agreement.
This Agreement applies to all countries, all releases, and all content submitted via Aioten.
2. Term of Agreement
The Agreement is valid for 12 months from the date of signup/acceptance.
It automatically renews every year unless cancelled at least 30 days before renewal.
Cancellation must be requested by:
Raising a support ticket from the Aioten dashboard, or
Emailing support@aioten.com
3. Rights Granted to Aioten
By distributing through Aioten, the Artist grants Aioten:
Exclusive worldwide digital distribution rights
Delivery to all DSPs and platforms
Metadata, ISRC, and UPC management
Monetization & copyright fingerprinting
Video distribution (if selected)
Short-video platform delivery
Global publishing delivery (if selected)
Ownership of the content always remains with the Artist.
4. Subscription & Fees
Subscription Fee: USD $20 / EUR €20 / INR ₹1500 per Artist per year
Currency auto-converts based on Artist’s country
Subscription fees are non-refundable, except if Aioten fails to deliver distribution services
Account activates only after successful payment
5. Royalty Structure
5.1 Active Subscription
Artist: 75%
Aioten: 25%
5.2 Non-Renewed / Inactive Subscription
If the Artist does not renew:
Artist: 30%
Aioten: 70% (covers catalogue hosting, partner fees, and maintenance)
Applies until takedown or transfer.
5.3 Royalty Payment Threshold
Active Accounts: $70 / €70 / ₹5000 minimum payout
Inactive Accounts: $100 / €100 / ₹7000 minimum payout
Balances roll over automatically
6. Takedown / Removal / Transfer
Artist may request takedown/transfer anytime
Fee: $15 / €15 / ₹1000 per track
DSP processing time: 30–90 days
7. Royalty Reporting
Aioten reports based on global delivery partner statements
Raw spreadsheets from partners cannot be shared
Artist receives filtered ISRC/UPC-based royalty statements
Reports may be monthly or quarterly depending on DSP schedules
8. Global Distribution Partners
Aioten distributes through its authorized global delivery network, including (but not limited to):
Spotify
Apple Music
YouTube
Amazon Music
Instagram & Facebook
TikTok
Resso
JioSaavn
Deezer
Aioten is not responsible for:
DSP delays
Revenue adjustments
Content reviews
Monetization decisions
Partner-side technical issues
9. Aioten’s Administrative Rights
Aioten may:
Fix metadata issues
Assign ISRC/UPC codes
Manage Content ID claims
Resolve DSP disputes
Correct technical errors
Creative changes require Artist approval.
10. Copyright & Content Responsibility
The Artist confirms that:
All content is original and owned by the Artist
Beats, samples, loops, vocals, artwork are properly licensed
No copyrighted material is used without permission
No reused, duplicated, AI-violating, or stolen content is uploaded
Aioten may remove or block content that violates rules.
Artist indemnifies Aioten against all claims.
11. Fraud & Manipulation Policy
Strictly prohibited:
Fake streams
Bot activity
Artificial chart manipulation
Misleading metadata
Duplicate uploads
Violations may result in:
Royalty withholding
Account suspension
DSP blacklisting
Termination without refund
12. Termination
12.1 Aioten may terminate immediately for:
Fraud
Copyright violations
DSP policy breaches
Abusive behavior
Illegal content
12.2 Artist may terminate:
At end of yearly term
Or by requesting takedown (fees apply)
12.3 Refunds
No refunds upon termination.
13. Limitation of Liability
Aioten is not liable for:
Loss of revenue
DSP policy changes
Platform delays
Indirect or incidental damages
Maximum liability is equal to the Artist’s last paid subscription fee.
14. Governing Law
This Agreement is governed by:
Laws of India
Jurisdiction: Courts of Taranagar, Rajasthan
Applies globally to all Artists.
15. Entire Agreement
This document is the full and final agreement between Aioten and the Artist.
✔ Digital Acceptance
By creating an account, uploading content, or submitting a release, the Artist gives legally binding digital consent and agrees to all terms listed above.
Acceptance methods include:
Checking the agreement box during release upload
Confirming via email
Submitting content via the dashboard
Account signup acceptance
This Agreement is fully enforceable under the Indian IT Act, 2000, international e-commerce standards, and digital contract laws.
